In one paragraph. Quorai is pre-release software, used by named design partners. Pricing and any free period are set in your order form or a signed agreement. There is no uptime commitment and no warranty. Your data, your organization's audit entries and your evidence packs are yours, and you can take them with you. Unless a signed agreement says otherwise, either of us can end the arrangement at any time, for any reason. Quorai is a tool that helps you evidence your own compliance work. It is not a certification, an audit, or legal advice.

1. What is being offered

SnoXLi Ventures LLC gives you access to Quorai, a governance control plane for AI agents, for evaluation and joint development as a design partner. Pricing and any free period are set in your order form or a signed agreement. No fee is charged without one.

If you have signed an agreement with SnoXLi Ventures LLC for Quorai, that agreement controls wherever it differs from this page.

2. This is pre-release software

Quorai is under active development. Features will change, move and occasionally be removed. Data may need to be migrated. Interfaces are not frozen. You should not make Quorai a single point of failure in a production process during the design partner period, and we will tell you plainly if you are about to.

3. No service level, and no warranty

There is no service level agreement. No uptime target is promised, no response time is promised, and there is no credit or refund mechanism, unless a signed agreement says otherwise. We will make a genuine effort to keep it running and to tell you when it is not, and that effort is not a contractual commitment.

Quorai is provided as is and as available, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

4. Your data is yours

You own everything you put into Quorai and everything Quorai produces about your agents: your registry, your policies, your usage and cost records, your tool call records, your organization's entries in the audit chain and every evidence pack generated from them. We claim no ownership of any of it, and no license to it beyond what is needed to operate the service for you and to support you when you ask.

We do not use your data to train models. We do not sell it. We do not share it except with the processors named in the privacy page.

You can ask for an export of your data at any time, and if you leave we will produce one when you ask. When the arrangement ends we close your organization, and we purge it when you ask or when a signed agreement says so. The privacy page says exactly what a purge deletes and what the audit chain keeps.

5. What Quorai is not

This is the clause worth reading twice.

Quorai is not a compliance certification. Using it does not make you compliant with the EU AI Act, SOC 2, ISO/IEC 42001, or anything else. It does not issue a certificate and it is not accredited to.
A control mapping is an assertion, not an attestation. Where Quorai shows a control reference, that is our reading of how a piece of evidence relates to a framework requirement. No auditor, regulator or notified body has reviewed that mapping. Your auditor may disagree with it, and your auditor is the one who decides.
Quorai is not legal advice. Nothing the product outputs, and nothing on this page, is legal advice. Get your own.
Quorai does not make decisions for you. The gate holds an action and asks a human. The human is accountable for the answer.

6. How you may use it

Use it for your own organization's agents. Do not use it to break the law, to attack anybody, to route traffic you are not entitled to route, or to attempt to reach another organization's data. Do not share your credentials outside the people you have named. Do not resell access.

Do not put protected health information, payment card data, government identification numbers or children's personal information into Quorai. It is not built for them.

You are responsible for the provider accounts and keys you connect, for the spend those keys incur, and for what your agents do. Quorai can hold, block and evidence an action. It cannot undo one.

7. Confidentiality, both directions

What you show us about your business, your agents and your internal processes is confidential and we will not repeat it. What we show you that is not yet public about Quorai, including unreleased features and this software itself, is confidential in the same way. Neither of us will name the other as a partner or a customer in public without asking first. Either of us may share the other's confidential information with the processors named on the privacy page to run the service, or where the law requires it.

8. Feedback

You are a design partner, so we want your criticism, and we will act on it. If you tell us how to make the product better, we may do so without owing you anything for the idea. That does not give us any right to your data, which is covered by clause 4.

9. Ending it

Either side may end this at any time, for any reason or none, with no notice and no penalty, unless a signed agreement sets a notice period or a term. You can stop using it and ask us to delete the account. We can withdraw access, and if we do we will say why. On termination, clause 4's export and deletion apply, and clauses 4, 5, 7 and 10 survive.

10. Liability

If you have a signed agreement or order form with SnoXLi Ventures LLC for Quorai, its limitation of liability applies instead of this clause.

Otherwise, to the fullest extent the law allows: neither side is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, arising out of the use of Quorai or this site, even if told they were possible; and each side's total liability arising out of the use of Quorai or this site is limited to the greater of the amount you paid for Quorai in the 12 months before the claim and US$100.

This clause does not limit liability for fraud, gross negligence or willful misconduct, or any liability the law does not allow to be limited.

11. Governing law

These terms are governed by the laws of the State of California, United States, and the state and federal courts located in Santa Clara County, California have exclusive jurisdiction.

12. Changes

If these terms change during your design partnership, we will email you the change rather than update the page quietly. The date at the top always reflects the current text.
